Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Kelet platform (“Service”) operated by Kelet Inc. (“Kelet”, “we”, “us”, or “our”).

By accessing or using the Service, you represent that you have the authority to bind the organization you represent, and that organization agrees to be bound by these Terms. If you do not have that authority, do not use the Service.

1. The Service

Kelet provides AI agent diagnostic and root cause analysis tooling. The Service is currently provided free of charge, on an AS IS basis, with no uptime SLA, no warranties of any kind (express or implied), and no guaranteed availability. We may modify, suspend, or discontinue the Service at any time without notice.

2. Your Data

You retain ownership of all data you submit to the Service (“Customer Data”). You grant Kelet a limited license to process Customer Data solely to provide and improve the Service. We do not sell your data to third parties.

We may use aggregated, de-identified, or derived data generated through your use of the Service to develop and improve our platform. Such data is not attributable to you and is not shared with other customers.

3. Data Retention

Upon account termination (by either party), we retain Customer Data for up to 90 days, then permanently delete it. You may request earlier deletion by contacting us at [email protected]. After deletion, recovery is not possible.

4. Acceptable Use

You may not use the Service to:

  • Violate any applicable law or regulation
  • Circumvent or probe the security of the Service or its infrastructure
  • Scrape, copy, or reverse-engineer any part of the Service
  • Resell or sublicense access to the Service without our written consent

5. Enterprise Agreements

Custom agreements, data processing addendums (DPA), and bespoke contractual terms are available under an Enterprise license. Contact us at [email protected].

6. Fees & Pricing

The Service is currently free. We may introduce paid plans or change pricing at any time, at our discretion.

7. Intellectual Property

You retain all rights to your Customer Data. Kelet retains all rights to the Service, the platform, and its underlying technology. No rights are transferred except as expressly stated in these Terms.

8. No Warranty on Output

The Service produces AI-generated analysis, diagnostics, and suggested fixes (“Output”). All Output is provided for informational purposes only. Kelet makes no representations or warranties regarding the accuracy, completeness, or fitness of any Output for any purpose. You are solely responsible for evaluating and deciding whether to act on any Output. Kelet is not liable for any consequences arising from your reliance on Output.

9. Indemnification

You agree to indemnify, defend, and hold harmless Kelet and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

10. Feedback

If you provide Kelet with feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant Kelet a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose without obligation to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KELET’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED $50 USD. IN NO EVENT SHALL KELET BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.

12. Termination

Either party may terminate at any time, for any reason, by providing notice. Upon termination, your access to the Service ends immediately. Customer Data is retained and deleted per Section 3.

13. General

Entire Agreement. These Terms constitute the entire agreement between you and Kelet regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

No Waiver. Failure to enforce any right or provision does not constitute a waiver of that right or provision.

Force Majeure. Kelet is not liable for any failure or delay caused by circumstances beyond its reasonable control.

Assignment. You may not assign these Terms without our written consent. Kelet may assign these Terms freely, including in connection with a merger or acquisition.

14. Governing Law

These Terms are governed by the laws of the State of Israel. Any dispute arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv-Yafo, Israel.

15. Changes

We may update these Terms from time to time. Your continued use of the Service after any update constitutes acceptance of the revised Terms. The effective date at the top of this page reflects the most recent revision.
